1. Parties
This Service Agreement (“Agreement”) is made between:
Golden Coast Murals, herein referred to as “Artist,” and Client Name, herein referred to as “Client.” Both parties agree to the terms and conditions outlined below.

2.2 Mural Dimensions

2.3 Surface Preparation Requirements
The Client agrees to ensure the mural surface is:
● Clean, dry, and free of cracks, peeling paint, mold, or debris prior to commencement.
● Any structural or repair work (power washing, patching, resurfacing) is the Client’s responsibility, unless otherwise agreed in writing.
● If Artist must perform additional prep work, hourly or per-square-foot rates will apply.
Optional Add-On: Artist to handle full prep (includes power washing, priming, patching) rate: per sq. ft.
2.4 Design Component

2.4.2 Design Process and Approval Stages
Phase 1: Concept Development
● Initial consultation and review of Client objectives.
● Up to two (2) preliminary digital sketches or mockups provided for review.
● Each mockup shall include proposed composition, layout, and color palette.
● Client to provide consolidated written feedback within five (5) business days of delivery. Phase 2: Final Design Rendering
● Artist delivers finalized design in digital format (.JPG, .PDF, or .PNG).
● Client to approve or request minor revisions within three (3) business days.
● Major revisions (more than 25% change of concept or scope) shall incur additional design fees at $___ per hour or $___ per revision.
● Upon final approval, Client shall sign the Design Authorization Form to initiate production. Phase 3: Production-Ready Design File
● Once approved, the design becomes locked.
● Any further modifications requested after this point shall constitute a change order and may affect the completion date and total project cost.
● The final production layout shall include scaling, color annotations, and material specifications (if required for architectural review or public permits).
2.4.3 Intellectual Property and Usage Rights
● All preliminary designs, sketches, and renderings remain the intellectual property of Golden Coast Murals until full payment is received for both design and execution.
● Unauthorized reproduction, sharing, or derivative use of preliminary artwork is strictly prohibited and may result in additional licensing fees or legal action.
● Upon full payment, the Client is granted a non-exclusive, perpetual license to display the completed mural at the original installation site only.
● Any reproduction of the mural for marketing, packaging, or merchandise requires separate written consent and licensing.
2.4.4 Design Adjustments Due to Site Conditions
If unforeseen structural, environmental, or lighting conditions require adjustment to scale, placement, or proportions, the Artist reserves the right to make reasonable on-site design modifications while maintaining the approved artistic intent. Such modifications do not constitute grounds for dispute or additional approval unless materially altering the core design.
2.4.5 Client Responsibilities The Client shall:
● Provide accurate wall measurements and photographs of the intended surface before design begins.
● Ensure that all necessary permits, permissions, and clearances from property owners, landlords, or municipal bodies are obtained prior to installation.
● Provide brand guidelines (if applicable) in digital format (.AI, .EPS, or .PDF).
● Review and approve all design stages within specified timeframes to prevent delays.
● Confirm in writing that the design complies with any corporate or municipal restrictions (e.g., advertising, signage, or historical building codes). 2.4.6 Public and Corporate Artwork Compliance For public, government, or institutional projects, the Artist agrees to adhere to:
● Any RFP / RFQ design guidelines or visual identity standards provided by the Client.
● ADA and accessibility visibility requirements (if signage-related).
● Censorship, decency, or political neutrality standards, when applicable.
● Submittal of digital mockups and material samples for committee review, if required.
2.4.7 Warranties and Limitations
● The Artist guarantees that all design elements are original and will not infringe upon third-party copyrights or trademarks.
● The Client is responsible for ensuring that any brand assets, slogans, or images they supply are properly licensed and may be legally used in the mural.
Section 2.4.10 – Multi-Contractor and Building Work Coordination
1. Acknowledgment of Concurrent Work: The Client acknowledges that during the course of the mural project, other contractors, tradespeople, or third-party vendors (“Other Contractors”) may be performing work on the property, including but not limited to electrical, plumbing, HVAC, painting, carpentry, or general construction.
2. Coordination and Scheduling:
○ The Client agrees to coordinate the scheduling of all Other Contractors to ensure that Golden Coast Murals has uninterrupted and safe access to the mural site for preparation, painting, and finishing. ○ Any conflicts that prevent timely access or interfere with the mural installation shall not constitute a breach of contract by Golden Coast Murals.
○ The Client shall provide a written schedule of other works affecting the mural area at least seven (7) business days prior to the start of mural installation.
3. Liability for Damage by Other Contractors:
○ Golden Coast Murals shall not be held responsible for damage caused to the mural by Other Contractors, Client employees, or third parties after installation or during concurrent work.
○ The Client agrees to notify Other Contractors of the presence of the mural and take all reasonable steps to prevent accidental damage. 4. Site Protection Requirements:
○ The Client is responsible for providing appropriate temporary barriers, protective coverings, signage, and restricted access to the mural site while work by other trades is ongoing.
○ Any additional protective measures required by Golden Coast Murals may be billed as an optional safety service at $___ per hour / sq. ft., unless already provided by the Client.
5. Change Orders or Delays Caused by Other Contractors:
○ Any delays, interruptions, or additional work caused by Other Contractors (e.g., wall repairs, painting over scaffolding marks, surface contamination) will result in adjusted completion dates and may incur additional fees.
○ All such adjustments will be documented in a Change Order, signed by the Client before additional work begins.
6. Indemnification:
○ The Client agrees to indemnify, defend, and hold harmless Golden Coast Murals from any claims, damages, or liability arising from the actions, negligence, or errors of Other Contractors on or around the mural site.
7. Best Practices / Senior Guidance:
○ For optimal project outcome, Golden Coast Murals recommends that the mural installation occur after all major construction and remodeling work affecting the mural surface is complete, or that protective measures be implemented to shield the mural from damage.
○ If partial concurrent work is unavoidable, Golden Coast Murals reserves the right to pause installation, adjust the workflow, or bill for additional protective services to maintain artwork integrity.
2.5 Intended Use
The mural is commissioned for the following purpose(s): Use Type ☐ Commercial Use ☐ Promotional Use ☐ Private / Residential Use ☐ Public / Community Art ☐ Educational / Institutional Description / Notes Business, storefront, or office branding. Marketing campaign, product backdrop, photo/video production. Personal aesthetic or decorative project. Government, nonprofit, or public beautification. If mural is to be replicated, photographed, or used commercially (advertising, product packaging, print materials, or media distribution), a separate Licensing & Usage Agreement must be executed to outline intellectual property rights and royalties (see Section 10: Ownership and Licensing). A digital mockup will be provided during the Design Phase (see Section 5). Up to two (2) rounds of revisions are included in the base design fee; additional revisions will be billed per
2.6 Timeline & Scheduling
● Working Hours: Standard 8am-6pm
● Weather Contingency: Outdoor projects may be postponed due to weather, at Artist’s discretion, without penalty.
● Rush Option: If Yes, 20–40% rush surcharge may apply for expedited turnaround.
2.7 On-Site Access & Utilities
Client agrees to provide:
● Access to water and electrical outlets (if applicable).
● Safe and secure storage area for materials and tools if project extends multiple days.
● Adequate workspace clearance (minimum 3–4 feet around mural area).
● Parking and loading zone access for equipment and materials. If lifts, scaffolding, or special access (e.g., high walls, ceilings, or multi-story work) are required, costs shall be added in the final estimate.
2.8 Health, Safety, and Liability
● Artist will comply with all local safety regulations.
● Client must notify Artist of any hazardous materials or environmental concerns at the worksite.
● Artist is not responsible for damage caused by pre-existing structural flaws, leaks, or surface deterioration.
● Protective drop cloths and barriers will be used to safeguard property.
3. Scope of Work and Site Preparation
Golden Coast Murals (“Artist”) agrees to design, prepare, and install a mural in accordance with the approved design concept. The scope, responsibilities, optional services, and exclusions are detailed below.
3.1 Scope of Work
The Artist shall provide the following services:

Design & Mockups:

Up to two (2) digital design mockups for Client approval, unless otherwise specified in writing.

Minor revisions included; major revisions (>25% change) will incur additional fees.

Surface Preparation (if included in quote):
-
Light cleaning, priming, or patching as agreed in advance.
-
Optional full prep available at an additional agreed rate.

Mural Application:
-
Professional-grade paints and materials applied by Artist.
-
Optional protective coating or sealant, if included in the quote.

Workspace Cleanup:
-
Immediate workspace will be cleaned and all tools removed after completion.

Disposal of hazardous materials handled according to local regulations.

3.2 Site Prep & Scheduling
Goal: Ensure the wall and surrounding site are prepared for safe and high-quality mural installation.
Steps:
-
Conduct a site visit, or Client provides up-to-date photos for verification.
-
Confirm surface condition, including but not limited to peeling paint, cracks, stucco, or mold.
-
Identify additional prep work required (cleaning, priming, patching) and quote optional add-on fees.
-
Schedule project dates and confirm site access, including working hours and restrictions.
-
Ensure safe, unobstructed access for equipment (ladders, lifts, scaffolding).
Legal Protection / Client Certification:
-
The Client certifies that the wall surface is in suitable condition for painting.
-
Artist is not responsible for pre-existing defects, including peeling, cracking, flaking, or structural issues caused by prior coatings or surface damage.

Client guarantees safe and secure access to the work area during scheduled times. Artist reserves the right to pause or reschedule if site conditions are unsafe or interfere with mural quality.
3.3 Optional Services

3.4 Exclusions (Not Included Unless Specified in Writing)

Extensive wall repair beyond minor patching or priming.

Pressure washing of walls or surfaces not included in quote.

Ongoing maintenance, graffiti removal, or future touch-ups.
-
Any damages resulting from third-party contractors, environmental exposure, or Client negligence post-installation.
3.5 Client Responsibilities for Site Prep

Provide accurate wall measurements and detailed photographs.
-
Ensure all permits, approvals, and access permissions are obtained.
-
Confirm that the site is clear of obstructions, debris, and hazards before the scheduled start date.
-
Notify Artist in advance of any concurrent work by other contractors or trades that may affect mural installation.
4.1 Deposit (50% — Non-Refundable)
A non-refundable deposit equal to fifty percent (50%) of the total project cost is required to secure the project, reserve Artist scheduling, and initiate design work. No work will begin until the deposit is paid in full and cleared.
4.1.1 What the Deposit Covers
The deposit compensates the Artist for all pre-production and preliminary work, including but not limited to:

Time spent consulting with Client
-
Design creation, sketches, digital mockups, and revisions
-
Material sourcing and procurement
-
Scheduling, calendar blocking, and loss of opportunity for other projects
-
Labor preparation, planning, and site assessments
-
Administrative planning, communication time, and coordination
4.1.2 Non-Refundable Deposit — Legal Clause
The deposit is strictly non-refundable under all circumstances, except when the Artist cancels for reasons fully outside the Client’s control and not related to Client breach, delay, or non-cooperation.
If the Artist must cancel due to:

safety concerns on site,
-
legal issues or inability to obtain required permissions,
-
true force majeure events,
the Artist may refund the deposit minus documented design, labor, and material costs already incurred.
4.1.3 If Client Cannot Pay the Remaining Balance
If Client attempts to cancel, delay payment, or fails to pay the remaining balance:

The Artist has no obligation to continue the project.
-
The deposit will not be refunded.
-
Artist retains full copyright to all designs, sketches, mockups, and concepts.
-
Client obtains no rights to display, print, keep, or use any artwork created before full payment.
-
Project may be terminated immediately without penalty to Artist.
Partial payment does not transfer ownership or usage rights.
4.2 Milestone Payment Structure
Payments beyond the initial deposit are structured as follows:
4.2.1 Design Approval Payment
Upon Client’s signed approval of the final design, % of the total project cost is due.
This payment authorizes the Artist to purchase materials and finalize production scheduling.
4.2.2 Pre-Installation Payment
Immediately prior to the physical commencement of mural work, 50% is due.
This confirms site readiness, access, and that Client has satisfied all required conditions.
4.2.3 Final Completion Payment
The remaining balance is due on the same day the mural is completed and presented for inspection, prior to:

application of protective coatings,
-
final photography or documentation,
-
delivery of digital final images,
-
activation of any warranty,
-
or any commercial usage rights being granted.
-
Artist may withhold all deliverables until payment is received in full.
4.2.4 Optional Add-On Services
Optional services (e.g., additional revisions, extended prep, premium materials, protective coatings, or after-completion edits) require:

a separate invoice
-
full payment before additional work begins
4.2.5 Failure To Pay Any Milestone
If any milestone payment is missed:
-
Work halts immediately.
-
Deadlines freeze, and Artist is not penalized for delays caused by Client.
-
Artist may terminate the project.
-
All rights remain with Artist.
-
No refunds of any kind will be issued.
4.3 Changes, Additions, and Change Orders
Any change to the approved design, concept, materials, surface, size, or scope must be submitted and approved in writing via a Change Order.
Each Change Order must state:

No oral changes are binding.
Artist is not responsible for any delays caused by Client-requested changes.
The Artist may decline changes if they compromise quality, safety, or scheduling.
